Terms of Service

The agreement between you and Ecclerium when your business, or you as part of its team, uses Zeus.

1. About these terms

Zeus is business management software for businesses such as bars, restaurants, hotels, shops and service businesses: point of sale, inventory, employees, expenses, invoices, finance and the other modules a business subscribes to. It runs as a web app and an Android app. Zeus is provided by Ecclerium Limited (RC 1771066), a private company limited by shares incorporated in Nigeria ("Ecclerium", "we", "us").

These terms apply when you use Zeus, whether you subscribe for a business or use it as a member of a business's team. By creating an account, subscribing or using Zeus, you agree to them. If you accept them for a business, you confirm that you are authorised to bind that business, and "you" includes the business. If you do not agree, please do not use Zeus.

How we handle personal information is explained in the Zeus Privacy Policy, which forms part of these terms.

2. Accounts and company workspaces

  • Each business on Zeus has its own company workspace, with its outlets (branches), its team and its data. The person who registers a business becomes its first owner.
  • You may belong to more than one company with the same Zeus account. Each company's data is kept separate from every other company's.
  • You must be at least 18 years old, or the age of majority where you live, to register a business. Team members must be old enough to work lawfully where they are employed.
  • Use your real name and keep your details accurate. Keep your password safe and do not share your account: each person who uses Zeus needs their own account. You are responsible for what happens under your account.
  • Tell us straight away at admin@ecclerium.com if you think someone else has used your account.

3. Roles and permissions

  • A company's owners and administrators invite team members, give them roles, and decide which outlets and features each person can use. Zeus enforces those roles and permissions, and keeps a record of who did what.
  • The company is responsible for the people it invites, the access it gives them, and for removing access when someone leaves.
  • If you use Zeus as a member of a company's team, you use it on that company's behalf and under its instructions, and your company's administrators can see your activity in its workspace.

4. Subscriptions, modules and billing

  • Zeus is sold as modules (for example Hotel, Bar, Kitchen, Inventory, Expense, Bank, Loan or Reconciliation) that a company subscribes to individually or in suite bundles, at a tier (Starter, Professional or Enterprise) that sets its scale: users, branches, terminals and feature access. Current prices and what each tier includes are on our pricing page or in your quote.
  • Subscriptions are billed monthly, in Naira (NGN) or euro (EUR). Your monthly cost is the sum of your active subscriptions.
  • You can add or remove modules at any time. Additions are prorated for the rest of the current billing period; removals take effect at the end of the current period. Tier changes take effect on your next billing cycle, except as the pricing page says for Enterprise.
  • Subscriptions renew each billing period. If a renewal is not paid, the company's subscription expires and access to the unpaid modules, or to the workspace, may be limited or suspended until it is paid. Your data is not deleted because a payment is late.
  • Some modules, such as Marketplace, need our approval before they are switched on.
  • Early-launch prices are kept for as long as the subscription stays active. We may change other prices, and will tell company owners before a change applies to them; it takes effect from the next billing period after the notice.
  • Fees are exclusive of any taxes that apply, unless your invoice says otherwise. Except where these terms or the law say otherwise, fees already paid for a billing period are not refundable. If you are charged in error, contact us and we will put it right.

5. Acceptable use

You must not use Zeus to:

  • break the law, including tax, consumer protection, employment, lending and data protection laws;
  • run fraud, launder money, hide the true state of a business from its owners, auditors or authorities, or record transactions you know to be false;
  • store or send content that is unlawful, infringes someone else's rights, or is meant to harass or deceive;
  • access a company, account or data you are not authorised to, or get around Zeus's roles, permissions, security or plan limits;
  • break, overload or interfere with Zeus, probe or test its security without our written permission, or collect data from it by automated means other than the interfaces we provide;
  • copy, resell or rent Zeus, or use it to build a competing product.

6. Your company's data

  • Your company owns the business data it puts into Zeus: sales, stock, customers, suppliers, employees, expenses, accounts and the rest.
  • For personal information in that data (about your staff, customers, guests, suppliers or borrowers), your company is the data controller and Ecclerium is its processor. We process it only to provide Zeus to your company, on your company's instructions given through Zeus and these terms, and as the law requires. Your company is responsible for having a lawful basis to collect it and for answering the people it is about, including under Nigeria's Data Protection Act 2023.
  • We keep it confidential, protect it with reasonable security measures, use service providers bound to protect it, and tell you without undue delay if we become aware of a breach affecting it.
  • For information about you as a Zeus user (your account, your use of Zeus), Ecclerium is the controller. Both are described in the Zeus Privacy Policy.
  • We may use information about how Zeus is used, in a form that does not identify your company or anyone in it, to run, secure and improve Zeus.
  • Your company is responsible for the accuracy of what it records, and for keeping any records the law requires it to keep.

7. Payments, banking and lending features

  • Zeus helps a business record and manage its money: sales and how they were paid, expenses and approvals, invoices, its own accounts and their transactions, bank statement reconciliation, and, with the Bank and Loan modules, the savings and loans it offers its own customers.
  • Ecclerium is not a bank or a lender, and does not hold your money. Balances and transactions in Zeus are your business's records. Where Zeus works with a payment or banking provider (for example to collect a payment or check a bank account), the money moves through that provider, under its own terms.
  • If your business takes deposits, lends money or offers financial services, it is responsible for holding any licence and following the rules that apply to it. Zeus's figures, checks and risk flags help you run the business; they are not financial, credit, tax or legal advice, and decisions are yours.

8. Connected AI assistants (Claude, ChatGPT)

  • You can connect Zeus to an AI assistant, such as Claude (by Anthropic) or ChatGPT (by OpenAI), to ask about your business and to act in Zeus for you. A connection exists only if you authorise it: you sign in on Zeus's own page, choose one company and approve the permissions it asks for.
  • The assistant acts as you. It can only see and do what your role allows in that company, within the permissions you approved. It cannot move money.
  • When you use it, the information the assistant needs from Zeus is sent to the AI provider you chose, and is handled under that provider's terms and privacy policy, not ours. Make sure your company allows you to use that provider with its data.
  • You are responsible for what is done through your connection, as if you had done it yourself in Zeus. AI assistants can make mistakes: check important answers and changes.
  • You can end a connection at any time in Zeus under Settings › Connected apps, and your company's administrators can end any connection to the company. An ended connection stops working immediately.

9. Other services

Zeus may work with services run by others, such as app stores, payment providers, messaging services and AI assistants. They are provided under their own terms and privacy policies, and we are not responsible for how they work. Smoove, Ecclerium's consumer app, has its own terms.

10. Availability and changes to Zeus

  • We work hard to keep Zeus available, and much of it keeps working offline on your device and syncs when you reconnect. We do not promise it will always be available or free of errors; we may need to pause it for maintenance, and we try to do that at quiet times.
  • We improve Zeus continually and may add, change or remove features. If we remove a module you pay for, or change it in a way that seriously reduces what it does, we will tell you in advance, and you can stop that module without charge for the following period.
  • Keep the Android app up to date: older versions may stop working with Zeus.

11. Suspension and termination

  • A company can stop its subscription at any time; it ends at the end of the billing period already paid for. A team member can leave a company, or be removed by its administrators.
  • We may suspend or close an account or a company workspace that seriously or repeatedly breaks these terms, puts others or Zeus at risk, does not pay, or where the law requires it. Where it is reasonable, we will tell you why first and give you a chance to put it right.
  • When a subscription ends, owners can ask us within a reasonable time to export the company's data. We then delete or anonymise it as described in the Privacy Policy, except for what the law requires us to keep.
  • Sections 6, 13, 14, 15 and 16 continue after an account or subscription ends.

12. Deleting your account

You can ask us to delete your Zeus account at any time. How, and what is removed and kept, is on the Delete account page. Deleting your own account does not delete the business records of a company you worked in: those belong to the company.

13. Intellectual property

Zeus, its software, design, and the names and logos Zeus, Smoove and Ecclerium belong to Ecclerium or its licensors. While your company's subscription is active, we give it and its team a non-exclusive, non-transferable right to use Zeus for the company's own business under these terms. Your company keeps its data (section 6). If you send us ideas or feedback, we may use them without owing you anything.

14. Disclaimers

Zeus is provided "as is" and "as available". Figures, reports, forecasts, stock checks, risk flags and AI-assisted answers are calculated from the data your company records and may be incomplete or wrong if that data is; they are tools to help you, not professional (for example, accounting, tax, legal or financial) advice. Nothing in these terms removes rights you have under consumer protection law that cannot be excluded.

15. Limits on our liability

As far as the law allows, we are not liable for:

  • indirect or consequential losses, or loss of profit, revenue, business, goodwill or reputation;
  • losses caused by inaccurate data your company recorded, by actions of your team or of AI assistants you connected, or by your failure to keep your account secure;
  • services run by others, including payment and banking providers and AI providers;
  • problems caused by things outside our reasonable control, such as power or network failures.

Our total liability to a company for all claims about Zeus in any 12 months is limited to the fees it paid us for Zeus in those 12 months. We do not limit liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit.

16. Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. If you have a problem, please contact us first so we can try to solve it. If we cannot, the courts of Nigeria will have jurisdiction, unless the law gives you the right to bring a claim in the courts where you live.

17. Changes to these terms

We update this page when Zeus changes; the date above shows the latest version. If a change matters, we will tell company owners in Zeus or by email before it takes effect. If you keep using Zeus after that, you accept the new terms.
